Terms of Service

By accessing or using DataConvertPro's services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

These Terms constitute a legally binding agreement between you ("Customer," "you," or "your") and DataConvertPro, LLC ("DataConvertPro," "we," "us," or "our"), a Delaware limited liability company.

We may update these Terms from time to time. We will notify you of material changes via email or through a prominent notice on our website. Your continued use of our Services after such notice constitutes acceptance of the updated Terms.

DataConvertPro provides professional PDF to Excel conversion services. Our Services include:

• Document Conversion: Extracting data from PDF files and converting it to Microsoft Excel format (.xlsx) or CSV format
• OCR Processing: Optical character recognition for scanned documents and images
• Human Verification: Manual review and quality assurance of converted data
• Custom Schema Mapping: Configuring output columns to match your specifications
• Secure File Delivery: Encrypted transfer and temporary storage of your documents

3.1 Placing Orders

Orders are placed through our website or via email communication with our team. By submitting an order, you authorize us to process the specified documents according to your instructions and the selected service tier.

3.2 Pricing

All prices are quoted in US Dollars (USD) and are exclusive of applicable taxes unless otherwise stated. Pricing is determined by the selected service tier and any additional options such as rush delivery or OCR processing.

• Standard Orders: Payment is required at checkout before work begins
• Enterprise Accounts: Net-30 invoicing may be available upon approval
• Volume Retainers: Prepaid credits at discounted rates for recurring work

3.5 Late Payments

For invoiced accounts, payments not received within 30 days of the invoice date may be subject to a late fee of 1.5% per month (18% annually) on the outstanding balance. We reserve the right to suspend services for accounts with overdue balances exceeding 60 days.

We stand behind the quality of our work. If we fail to meet our commitments, you are entitled to a refund as follows:

Exclusions

Refunds are not available when:

• Delays are caused by incomplete or unclear source documents provided by the Customer
• The Customer fails to respond to clarification requests within 48 hours
• The request exceeds the scope originally quoted without prior agreement
• Issues are identified more than 14 days after delivery

5.1 Customer Content

• You retain all ownership rights to documents you upload
• You retain all ownership rights to the converted output files
• We claim no rights to use your content for marketing, AI training, or any purpose beyond service delivery
• You grant us a limited license solely to perform the requested conversion services

5.2 DataConvertPro IP

• Our website, software, processes, and methodologies remain our exclusive property
• Custom templates or schemas we develop for your use are licensed to you but remain our intellectual property
• You may not reverse engineer, copy, or redistribute our proprietary systems

5.3 Feedback

If you provide suggestions, ideas, or feedback about our Services, you grant us a perpetual, royalty-free license to use such feedback to improve our Services without any obligation to you.

6.1 Maximum Liability

To the maximum extent permitted by law, DataConvertPro's total liability arising out of or related to these Terms or the Services shall not exceed the greater of:

• The amount paid by you for the specific order giving rise to the claim, or
• One hundred US dollars ($100)

6.2 Exclusion of Damages

In no event shall DataConvertPro be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or data corruption (beyond the specific files we were converting)
• Business interruption or delays
• Costs of procurement of substitute services

6.3 Exceptions

These limitations do not apply to liability arising from: (a) our gross negligence or willful misconduct, (b) death or personal injury caused by our negligence, or (c) any liability that cannot be excluded by law.

You agree to use our Services only for lawful purposes and in accordance with these Terms. You must NOT:

Violation of this Acceptable Use Policy may result in immediate termination of your access to our Services without refund and may be reported to appropriate authorities.

8.1 Termination by You

You may stop using our Services at any time. For volume retainers or subscription arrangements, you may cancel with 30 days written notice. Prepaid credits are non-refundable but may be used during the notice period.

8.2 Termination by Us

We may suspend or terminate your access to our Services:

• Immediately, without notice, for violation of the Acceptable Use Policy
• Immediately, without notice, for non-payment exceeding 60 days
• With 30 days notice, for any reason or no reason at all

8.3 Effect of Termination

Upon termination:

• All outstanding orders in progress will be completed unless terminated for cause
• You must pay for all Services rendered up to the termination date
• Your data will be deleted according to our standard retention policy (7 days)
• Provisions that by their nature should survive (IP rights, limitation of liability, governing law) will remain in effect

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you hereby consent to the personal jurisdiction and venue therein.

10.1 Informal Resolution

Before filing any formal claim, you agree to first contact us at legal@dataconvertpro.com to attempt informal resolution. We will work in good faith to resolve any dispute within 30 days.

10.2 Arbitration

If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware.

The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights pending the outcome of arbitration.

11.1 Entire Agreement

These Terms, together with our Privacy Policy and any order-specific terms, constitute the entire agreement between you and DataConvertPro regarding the Services and supersede all prior agreements and understandings.

11.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

11.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of DataConvertPro.

11.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their permitted successors and assigns.

11.5 Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
